Parties This Non-Disclosure Agreement ("Agreement") is entered into between Gift Wishit, a company duly incorporated under the laws of the Federal Republic of Nigeria, operating the product currently known as "Nudge" ("the Company"), and the individual accessing this beta ("the Tester"), identified by the full name and email address provided below.

1. Purpose The Tester is being granted access to a private, pre-release version of the Company's product ("Nudge") solely for the purpose of testing and providing feedback. In connection with such access, the Tester will be exposed to confidential, proprietary, and trade secret information belonging to the Company.

2. Definition of Confidential Information "Confidential Information" means all non-public information relating to the Company's business and product, including but not limited to: product ideas, features, designs, and specifications; user experience flows and interface design; business models and strategy; technical architecture and implementation; roadmaps and development plans; branding and marketing direction; and any other proprietary information disclosed verbally, visually, electronically, or in writing during the beta period. Confidential Information does not include information that: (a) is or becomes publicly available through no act or fault of the Tester; (b) was lawfully known to the Tester prior to this Agreement; or (c) is independently developed by the Tester without use of or reference to the Company's information.

3. Confidentiality Obligations The Tester agrees to: (a) use Confidential Information solely for the purpose of participating in the beta test; (b) not disclose, share, publish, reproduce, or communicate any Confidential Information to any third party — including but not limited to screenshots, recordings, written descriptions, or verbal discussions — without prior written consent from the Company; (c) take all reasonable steps to protect the confidentiality of the information received. These obligations shall continue for a period of five (5) years from the date of this Agreement, and indefinitely with respect to any information that constitutes a trade secret under applicable law.

4. No Replication or Competing Use The Tester agrees not to replicate, reverse-engineer, imitate, or build upon — in whole or in part — any element of the product, concept, design, or intellectual property disclosed during the beta, for any commercial or personal purpose. The Tester shall not use any Confidential Information to develop, assist in developing, or advise on any product or service that is substantially similar to the Company's product.

5. Intellectual Property Nothing in this Agreement grants the Tester any ownership, licence, or rights in the Company's intellectual property. All rights, title, and interest in the product and any associated materials remain the sole and exclusive property of Gift Wishit. Any feedback, suggestions, or ideas submitted by the Tester during the beta shall become the property of the Company without any obligation of compensation.

6. Remedies The Tester acknowledges that any breach of this Agreement may cause irreparable harm to the Company for which monetary damages would be inadequate. In the event of a breach, the Company shall be entitled to seek injunctive relief, specific performance, and any other remedy available under applicable law, in addition to claiming liquidated damages. The Tester agrees that their digital signature below constitutes sufficient evidence of this Agreement in any legal proceeding.

7. Governing Law & Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The Tester irrevocably submits to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria for the resolution of any dispute arising out of or in connection with this Agreement.

8. Entire Agreement This Agreement constitutes the entire understanding between the Tester and the Company with respect to confidentiality and supersedes all prior discussions on these matters.
